Kirill has outstanding experience in representing government and private sector in key infrastructure and PPP projects in the CIS, such as Boguchanskaya Hydro Power Station, Belkomur, Pulkovo airport modernization, Moscow-St. Petersburg toll road construction, Orlovsky tunnel, Volgograd bypass, Moscow Central Ring Road and Chita and Kyzyl-Kuragino railroads as well as other transportation, healthcare, energy, water treatment and waste incineration projects totalling over USD 70bn. Since 2010, Kirill and his team have been involved in the following PPP / infrastructure projects:

  • Advising several Russian regions in the implementation of Belkomur, a comprehensive program for industrial and infrastructural development, including a PPP-based railway construction project.
  • Representing an international consortium led by Impregilo SpA in the USD 1 billion-plus Almaty-Khorgos toll road concession in Kazakhstan.
  • Advising on the financing of a hydro power plant in Belarus.
  • Advising on two waste plant projects.
  • Advising the Russian Ministry of Transport and the Roads of Russia on the financial closure of the M-1 toll road in Russia.
  • Advising on a PPP project in the healthcare sector and on a smart metering project.

Kirill has a highly successful practice in M&A, restructuring, hostile takeover defence and distressed assets sales. He worked on a number of M&A transactions representing BHP Billiton Company, Coca Cola HBC Eurasia, Golden Telecom, Telenor, VTB, VTB Capital, Vimpelcom and several investment and private equity funds. Since 2010 his portfolio in M&A deals has included a number of significant acquisitions and disposals in the telecom, food and beverage, mining, pharmaceutical, insurance, medical devices and other sectors. These projects include:

  • Advising on the acquisition of a number of telecommunication carriers by VimpelCom.
  • Advising Stock Spirits Group on the potential acquisition of Nemiroff's Russian business, including its trading company.
  • Advising Sanyo Foods Co. on the acquisition of a 49.99% equity stake in KL Sanyo Foods Ltd., a Cypriot company having King Lion Group, Russia's third largest instant noodle maker.
  • Advising on cross-border acquisitions of medical treatment and medical devices businesses by international companies.
  • Advising on the sale of Nidan Soki juice holding to Coca-Cola HBC Eurasia.
  • Advising on the restructuring and sale of a Kazakhstani subsidiary of a global company.

Kirill has acted in the following joint venture related cases:

  • Advising Baker Hughes, top-tier oilfield service company in the course of the establishment of a strategic joint venture with a major Russian oil company in Western Siberia aimed to produce petrochemical feedstock.
  • Advising a leading US-based medical corporation on a research and development joint venture with a Russian pharmaceutical company.
  • Advising a private equity fund on the establishment of a joint venture with Smirnoff vodka distillers.
  • Advising a leading Australia-based financial institution on the establishing of the first international infrastructure joint venture and infrastructure fund in Russia.
  • Advising a major energy corporation on the settlement of a major corporate dispute which allowed to establish two joint ventures to complete and finance major infrastructure projects worth USD 5bn.

Apart from M&A and JV work, Kirill advises on corporate restructuring and competition law matters. He supported a large Russian holding in its three yearlong restructuring exercise involving more than 80 companies in 5 jurisdictions. Most recently, he has been involved in the cross-border restructuring of a global consultancy firm.

Kirill has acted in a number of corporate transactions in Kazakhstan including the sale of a major player in the financial services sector, the sale of a retail chain, and the restructuring for a major global corporation. Most notably, however, he advised an international consortium led by Impregilo SpA (Italy) in a USD 1 billion-plus concession project, the country's largest ongoing PPP project.

Kirill is a major corporate governance expert. Having worked for the EBRD and the Federal Commission for the Securities Market of Russia, he co-authored the Code of Corporate Governance, with official commentary, as approved by the Russian Government. He also co-authored a multi-volume study book on corporate governance prepared by the IFC. The key clients he advised on corporate governance reforming are Norilsk Nickel, SUAL and Ilim Pulp Enterprise. In 2010 he was invited as an expert on corporate governance in Russia by the London High Court.

He started his career at Freshfields Bruckhaus Deringer and Coudert Brothers and continued it as Partner at CMS/Cameron McKenna, CMS and Magisters law firms.

Kirill Ratnikov is awarded by Finance Monthly Global Awards 2010 as Infrastructure & PPP Lawyer of the Year in Russia. Chambers Europe praises him as a “consistently attentive and thorough” lawyer who is known for his “sound knowledge of the market” and “impresses with his eye for detail and insightful approach.” Chambers Global 2012 recommends him for Corporate/M&A and Energy/Natural Resources in Russia and General Business Law in Kazakhstan. The Legal 500 EMEA outlines: “Ratnikov has outstanding experience representing the Russian government and private sector.” PLC Which Lawyer highly recommends Kirill for his “strong infrastructure and power project-related expertise”. Legal Experts EMEA ranks him for project finance/energy in Russia. Kirill is also recognised by Best Lawyers directory in construction, project finance and development, and by Who's Who Legal: CIS which calls him a "clear client favourite".

He is a member of the PPP Expert Council of the Committee for Economic Policy, Innovations and Entrepreneurship of the Russian State Duma, the Expert Council of the Public-Private Partnership Center of Russia, and the Finance Committee of Business Russia.

A Lomonosov Moscow State University graduate, Kirill has obtained his LL.M. at Yale University and his Ph.D. in Law at Russia’s Institute of State and Law. He contributed to drafting of a number of Russian laws in the field of corporate law and public private partnerships. He speaks English and Russian.
