Clemens D. Schlotter, International Desk Director at Egorov, Puginsky, Afanasiev & Partners focuses on consulting the Firm’s international clients acting as their local legal counsel on activities in the CIS. Clemens possesses extensive experience in advising international clients on a wide range of issues related to M&A, corporate and commercial law, white-collar crime and corporate compliance, as well as technology, media and telecommunications (TMT).
Clemens' clients include large and mid-size companies from German-speaking and other European countries, as well as the USA. These companies mainly belong to the IT, media, metals and machinery mechanical engineering industry sectors.
Clemens Schlotter supported various M&A transactions. In particular, he advised on the international corporate and financial aspects of a German state bank's investment in a Moscow business centre; assisted in the purchase of a Russian mechanical engineering company by a German-listed company; and participated in the sale of a Russian regional airport by a European investment fund.
Clemens also provided advice in setting up production joint ventures in the transport, railroad and automotive sectors as well as a distribution joint venture in the mechanical engineering sector.
His corporate/commercial experience includes assisting LEONI Group in the localization of its production facilities in Tatarstan (Russia); advising Uhde, a Thyssen Krupp company specialised in engineering and construction of chemical plants, on Russian engineering contracts. His other experience in this area includes advising a global car manufacturer concerning work agreements and other commercial and labour contract matters; assisting a global German media company in various e-commerce projects; and advising BearingPoint regarding service and work agreements in Russia and procurement in Kazakhstan.
Clemens has also provided pre-litigation advice with regard to defects in the construction of the Moscow HQ of a German DAX company, represented an Austrian engineering and construction company related to the payment demands against its principal, and advised an Austrian listed steel company on enforcement of payment against its Russian client.
His experience in the area of white-collar crime and compliance includes:
- Performing asset tracing for a German client from the agricultural sector (in cooperation with external forensics advisors).
- Participation in the defence of a global financial services company against a cyber-attack (in cooperation with several security firms).
- Defending a German automotive supplier against corporate raiding by the local management of its branch, including criminal prosecution of the management.
- Representing a global UK-based internet company with regard to IT security issues.
- Assisting in the organization of a whistle-blowing hotline for two German DAX-listed companies in Russia, Ukraine and Kazakhstan.
- Advising a listed German mechanical engineering company on its compliance with Russian competition law.
Before joining Egorov, Puginsky, Afanasiev & Partners Clemens worked at Magisters, a CIS-based law firm, and a German international law firm. Prior to that, Clemens was Deputy Head of Section in the Legal Department of the telecoms regulator in Berlin, Germany, where he worked on amendments to the German Telecommunications Act and the EU International Roaming Regulation.
Mr. Schlotter graduated from the Westfälische-Wilhelms-Universität Münster and Universität Potsdam, Germany, and obtained his LL.M. degree at the University of Strathclyde, UK. He is a member of the legal committee of AHK, the Russo-German chamber of commerce, and is admitted to the Berlin Bar Association.
